Terms of sales

The terms of sale described below, detail the rights and obligations of the company PROPOSEO SAS registered at the RCS of MACON under the number RCS 811 850 585 (hereinafter referred to as "PROPOSEO") and of its client (hereinafter referred to as "The customer") in the sale of goods and services.


Proposeo provides an "as is" service depending on the availability of the Internet. The customer uses this service at his own risk. The PROPOSEO obligation can therefore only be an obligation of means. PROPOSEO is committed to providing all useful advice and will carry out the analyses necessary to allow the tools to be used following target of the security, legality, loyalty and commercial performance sought by its Customers.

Data provided by the Client

PROPOSEO reminds the Customer that by definition, the Internet is a public telecommunications network of an international nature. PROPOSEO therefore invites the Customer to use data whose reproduction and use cannot harm their interests. The Customer remains the exclusive owner of the intellectual property rights of the data which he will be required to upload to the proposeo.com application in the context of the execution of this contract. Relations between the parties and responsibilities

PROPOSEO undertakes to take all reasonable care in the execution of this contract in compliance with the rules of the art. The parties agree that PROPOSEO has an obligation of means and that in any event their respective responsibilities will be limited to the repair of the corresponding work. The total amount of compensation that PROPOSEO may be required to pay to the Client for any reason whatsoever is, by mutual agreement, limited by the parties to the amounts actually received by PROPOSEO under this contract since the date on which it generates its liability, regardless of the legal basis of the claim and the procedure used to settle it. The responsibility of one or the other of the parties is released in the event that it would be impossible for him to perform part or all of his obligations, due to the occurrence of events beyond his voluntee and control, as defined by case law as force majeure. The responsibility of the other parties cannot replace that of the party released by the occurrence of a case of force majeure.

  1. Services sold

    1. Proposeo.com internet application services published by PROPOSEO

      PROPOSEO publishes the proposeo.com site, the services from this platform are provided as is to the customer and must be installed in a technical environment (hardware and software) compatible with the prerequisites for installing and using the software. The possession, installation or use by the customer of the software does not give him any property right.

      The Customer accesses the application after having subscribed giving it the non-exclusive and non-transferable right to use the software for the scope and duration specified in the "Prices" section of the www.proposeo.com page. Unless otherwise stated on the invoice, the subscription includes maintenance and technical support according to the level of service subscribed. The Customer chooses the type of subscription desired in "Settings", then "Team", then "Update subscription". The subscription is provided to the customer for a given period and renewable tacitly.

      Hosting by PROPOSEO

      The customer's data is hosted on computer servers managed by PROPOSEO. PROPOSEO undertakes to make every effort to guarantee the availability and security of its client's data.

    2. Maintenance

      Unless otherwise stated on the invoice, maintenance includes the free provision of all new versions of the software licensed to the customer. Maintenance is provided to the customer for a given and renewable period. If the software includes optional modules, this provision only concerns the modules that the customer has chosen and which therefore appear on the invoice (s) concerning the software.

    3. Technical support

      Technical support is provided to the customer as a legal person, and to their technical representative as contact person for PROPOSEO support. Under no circumstances is technical support available to all users of software published or distributed by PROPOSEO.

      The PROPOSEO technical support center has an obligation of means towards its customers and will therefore do everything in its power to correct or circumvent a possible malfunction noted by a customer in the context of the normal use of the software. Technical support covers software published or distributed by PROPOSEO, and not the technical environment in which these software are installed (computer hardware, operating system, third-party applications, databases, networks, etc.).

      The possibility and mode of access to technical support are specified on the invoice, because they depend on the software and options purchased by the customer. Technical support is provided to the customer for a given and renewable period.

    4. Services

      The content of the specific services provided by PROPOSEO consultants is freely defined between the client and PROPOSEO and will be the subject of a detailed estimate. Specific conditions of sale may be annexed to these.

Entire contract

By completing the registration process for the proposeo.com application, the Customer will confirm their registration by clicking on the check box "I ACCEPT THE TERMS OF SALE AND THE CONDITIONS OF USE OF PROPOSEO". By carrying out this action, the Customer certifies having first read the Terms of Sale as well as the Terms of Use, which he accepts without reservation.

The Customer, administrator of the account, will then enter their identity, contact details, billing information, and confirm by clicking on the "create team" button; he will then have access to the services.

The contract is formed when the Customer clicks on the "create team" button.

The service is opened with a 30-day free trial.

It is necessary to enter your credit card details to access the services of proposeo.com, and benefit from a free 30-day trial period beforehand. The Customer may terminate his subscription at any time, even during the trial period.

If you require more than 30 days, you can only continue to use the Service by paying in advance for additional use. If you do not pay for additional use, your account will only allow partial use of the service until payment is made.

PROPOSEO guarantees that it will perform its services in compliance with the regulations in force, the rights of the Customer and Third Parties, in particular PROPOSEO guarantees that the rights of the software it uses do not infringe any third party rights and in particular, that they are not counterfeiting other software.

The Customer undertakes that the nature of the data stored and hosted in its private part does not contravene the laws in force in France or in the countries where the Application is used. And in particular, do not contravene the laws in force which govern the protection of minors, the human person, consumers and intellectual property.

If responsibility for PROPOSEO were to be sought in this regard, the Customer would guarantee PROPOSEO against any conviction of any kind. PROPOSEO cannot be held liable for the payment of compensation for costs having an unpredictable nature, direct or indirect, or consecutive, to the impossibility of partial or total use of the Application available on proposeo.com.

Financial clauses

As counterpart of the performance of the Services and the delivery of the property rights mentioned above, the Customer agrees to pay the price to PROPOSEO, as indicated when subscribing to the services.

Payment, refund, upgrade conditions.

  1. For any subscription to a lower or higher subscription, invoicing will give rise to either a credit notes or additional invoicing.

  2. Downgrading your service may result in the loss of functionality or the loss of your account. The company accepts no responsibility for such loss.

  3. All prices are expressed without taxes. The company collects VAT and remits it to the competent administrative authority.

  4. Refunds are processed in accordance with our refund policy.

Service and price changes

  1. The Company reserves the right, at any time, to modify or discontinue, temporarily or permanently, all or part of the Service with or without notice.

  2. The prices of all services are subject to change subject to 30 days notice. This notice can be sent at any time by posting the changes on the Proposeo site or on the service itself.

  3. The Company will not be liable to you or any third party for any modification, price change, suspension or interruption of the Service.

Cancellation and termination

  1. The Company reserves the right, at any time, to modify or discontinue, temporarily or permanently, all or part of the Service with or without notice.

  2. The prices of all services are subject to change subject to 30 days notice. This notice can be sent at any time by posting the changes on the Proposeo site or on the service itself.

  3. The Company will not be liable to you or any third party for any modification, price change, suspension or interruption of the Service.

End of contract

  1. You are solely responsible for the correct deletion of your account. A request by email or phone to cancel your account is not considered as a cancellation. You can cancel your account at any time by going to your "Settings", then "Team", you can then "update your subscription". Go to the "Cancellation of your subscription" section. By clicking on the check box followed by "I understand that by clicking on this link, I will cancel my subscription", the cancellation will be taken into account. This “Cancel Your Subscription” screen provides a simple cancellation link without questions.

  2. Your content will cease to be accessible on the anniversary date of your subscription. Within 30 days, all content will be permanently deleted from active systems and logs. Within 60 days, all content will be permanently deleted from our backups. This information can no longer be recovered once it has been permanently deleted.

  3. If you cancel the Service before the end of your current month, your cancellation will take effect immediately and you will not be charged again. But there will be no proportional calculation of the unused time during the last billing cycle.

  4. To obtain a refund, it is necessary to make a written request by email to support@proposeo.com. The level of use of the application will be taken into account; reimbursement may be made, at the complete discretion of Proposeo, in proportion to the use.

  5. The Company, in its sole discretion, has the right to suspend or terminate your account and to refuse any current or future use of the Service for any reason and at any time. Such termination of the Service will result in the deactivation or deletion of your account or your access to your account, as well as the confiscation and renunciation of all the content of your account. The company reserves the right to refuse service to anyone for any reason at any time.

Contract length

This Agreement is concluded for the period for which the Client has subscribed and begins on the date on which the Client has clicked on the "create team" button. The Customer has a 30-day trial period offered, then the duration of the contract will correspond to the duration of the chosen subscription. The subscription type and the contract will be automatically and tacitly renewed at each due date. The Customer may terminate the contract at any time.

Applicable law

This contract is subject to French law. In the absence of an amicable solution between the parties for any dispute arising between them concerning the formation, execution, interpretation or termination of this contract, jurisdiction is given to the Commercial Court of Lyon, notwithstanding the plurality of defendants or calls for warranty, even in the event of an interim measure.
